๐Ÿ“Œ What governs what. FinOps Pilot is licensed under the Standard Contract for Microsoft Marketplace and its amendments, which is what the customer accepts on purchase. That contract prevails over this document in everything it governs: licence, warranties, liability, term and termination. This page describes how the Service works and the conditions of its use in matters not governed there.

1. Purpose and acceptance

These conditions govern access to and use of FinOps Pilot (hereinafter, "the Service"), a Microsoft Azure cost analysis and governance platform owned by XENIX SOLUTIONS, S.L. Use of the Service implies acceptance of these conditions in full.

3. Description of the Service

The Service periodically reads, on a read-only basis, the cost data of the Azure environments the Customer expressly delegates, stores it, and presents it as dashboards, comparisons, projections, anomaly detection, an action plan and cost allocation.

The Service performs no action on the Customer's infrastructure and cannot create, modify or delete resources.

4. Purchase through Microsoft Marketplace

The Service is sold as a transactable SaaS offer on Microsoft Marketplace, under the Standard Contract for Microsoft Marketplace and any amendments XENIX publishes to it. The Customer accepts that contract during the purchase process, and it is what governs the licence. Accordingly:

5. Accounts, access and Customer responsibilities

Access to the Service uses the Customer's corporate identities in Microsoft Entra ID. The Service does not create or store passwords of its own.

6. Scope of access to the Customer's environment

The Customer grants access through Azure Lighthouse, with the Cost Management Reader and Reader roles, both read-only. No Customer credential is handed over, shared or stored.

The Customer may revoke the delegation at any time from their own Azure portal, without any involvement from XENIX. Revocation prevents any subsequent reading of their environment.

7. Customer data

The cost and configuration data obtained from the Customer's environment is owned by the Customer. XENIX processes it for the sole purpose of providing the Service.

The Service stores aggregated cost amounts and resource metadata โ€” identifiers, names, groupings โ€” as well as the identifying data of the users who access it. It does not access the contents of the Customer's resources: no application data, no database contents, no machine contents.

Processing takes place on Microsoft Azure infrastructure located in the European Union. The processing of personal data is governed by the Privacy Policy.

On termination of the Service, the Customer may request deletion of their data by writing to support@xenix.es.

8. Availability, maintenance and support

XENIX provides the Service with the reasonable diligence of a professional provider, but does not guarantee that it will be available without interruption or free of errors. Maintenance work that temporarily affects availability may be carried out.

Cost data is refreshed periodically, not in real time, and additionally depends on the availability and rate limits of the Microsoft Azure APIs, which are outside XENIX's control.

9. Acceptable use

The Customer undertakes not to use the Service for unlawful purposes, not to attempt to access third-party environments or data, not to reverse-engineer the Service, and not to use automated means that degrade its operation or that of the platforms it depends on.

10. Intellectual property

The Service, its code, design, documentation and trademarks are owned by XENIX SOLUTIONS, S.L. The right of use granted on purchase is the one defined by the Standard Contract for Microsoft Marketplace. No other right is transferred.

11. Nature of the information shown

The Service is an analysis and decision-support tool. The figures it presents come from the Microsoft Azure APIs and from the scopes the Customer configures.

Projections, savings estimates and anomaly detection are statistical estimates, not guarantees of outcome. The accounting source of record is always Microsoft's billing, and the Customer should reconcile against it any figure to be used for accounting or contractual purposes.

The applicable warranty and liability regime is that of the Standard Contract for Microsoft Marketplace.

12. Term and termination

Term, renewal and termination are governed by the plan purchased and by the Standard Contract for Microsoft Marketplace. The Customer may cancel at any time from their own Azure portal.

13. Changes

XENIX may amend these conditions to reflect changes in the Service or in applicable law. The date of the last revision appears at the top of this document. Substantial changes will be communicated to active customers with reasonable notice.

14. Governing law

In matters not governed by the Standard Contract for Microsoft Marketplace, these conditions are governed by Spanish law and by the Courts and Tribunals of Madrid (Spain).
